By clicking “Buy Now,” “Purchase,” “Checkout,” or any similar button, entering your payment details, or otherwise completing a purchase from Proof Studio (“we,” “us,” or “our”), you (“Client,” “you,” or “your”) agree to these Terms of Purchase (“Agreement”).

This Agreement governs your purchase of any product, digital download, template, resource, or other digital item from Proof Studio (“Product”).

These Terms form a binding legal agreement between you and Proof Studio. Please read them carefully before making a purchase.

1. Scope of Product

This Agreement applies to the purchase of any digital product, including but not limited to:

Design templates

Branding kits

Digital downloads

Educational resources

Creative resources

Digital guides

Each Product is described on its individual sales page, checkout page, or product description, which outlines its contents, intended use, and any included materials.

2. Payment Terms

Client agrees to pay the full purchase price at checkout, regardless of the payment method selected.

If a payment plan is offered and chosen, Client authorizes Proof Studio to automatically charge the payment method used at checkout for all scheduled installments until the total purchase amount is paid in full.

If any payment fails, is declined, or is reversed, Proof Studio reserves the right to suspend access to the Product until payment is complete. Proof Studio may also pursue all amounts owed through lawful means.

Client is responsible for any associated collection costs, including reasonable attorneys’ fees, where permitted by law.

3. Refund Policy

Due to the digital nature of our Products, all sales are final.

No refunds, cancellations, or exchanges will be granted unless otherwise required by law or expressly stated in writing by Proof Studio.

Dissatisfaction with the Product, changes in personal preference, accidental purchase, failure to use the Product, or lack of time to complete or implement the Product do not qualify for a refund.

Proof Studio makes no guarantees regarding specific outcomes, results, revenue, visibility, audience growth, client acquisition, brand success, business performance, or design implementation.

You acknowledge that you are solely responsible for how you use any Product and for any results, decisions, or outcomes derived from it.

7. Technology and Access

Proof Studio is not responsible for issues caused by your device, internet connection, software, platform access, third-party accounts, file compatibility, or inability to use the Product due to lack of technical knowledge.

Access instructions, downloads, links, or files may be delivered through email, a checkout platform, a digital delivery platform, or another third-party tool.

You are responsible for entering the correct email address at checkout and downloading or saving your Product within any stated access period.

8. Limitation of Liability

To the fullest extent permitted by law, Proof Studio, its founders, employees, contractors, collaborators, and partners shall not be liable for any indirect, incidental, consequential, punitive, exemplary, or special damages arising out of your purchase, access to, or use of the Product.

Our total liability for any claim related to this Agreement will not exceed the total amount paid for the Product giving rise to the claim.

You may not assign, delegate, transfer, sublicense, or share this Agreement or any rights under it without prior written consent from Proof Studio.

Proof Studio may assign or transfer this Agreement as part of a business sale, merger, restructuring, or transfer of assets.

11. Severability

If any part of this Agreement is found to be invalid, unlawful, or unenforceable, the remaining provisions will remain in full force and effect.

12. Dispute Resolution

In the event of any dispute arising out of or relating to this Agreement, both parties agree to first attempt to resolve the matter in good faith through direct written communication.

If resolution cannot be reached, the dispute will be handled through binding arbitration in the State of Wisconsin before a single arbitrator, unless applicable law requires otherwise.

The prevailing party may be entitled to reasonable attorneys’ fees and costs, where permitted by law.

Both parties waive their right to a jury trial to the fullest extent permitted by law.

13. Governing Law and Venue

This Agreement shall be governed by and construed in accordance with the laws of the State of Wisconsin, without regard to conflict-of-law principles.

Any legal action, if required and not subject to arbitration, shall take place in the state or federal courts located in Dane County, Wisconsin, unless applicable law requires otherwise.

14. Entire Agreement

This document constitutes the entire agreement between Client and Proof Studio regarding the purchase of the Product and supersedes all prior communications, representations, or understandings related to the Product.

15. All Rights Reserved

All rights not expressly granted in this Agreement are reserved by Proof Studio.
